La propriété économique en droit privé

Résumé

In 2007, the introduction of the fiducie in French Law has the consequence of allowing the rediscovery of the concept of propriété économique. At this moment, this old and forgotten concept has reintegrated the legal order.However, the renewal of this concept was done through the prism of trust. A sa result, many legal authors have been able to argue that the propriété économique is just an emanation of the Common law jurisdictions trust. The fiducie was presented as a French version of the Common Law. A kind of civil law trust. Thus, it would therefore be necessary for French doctrine to develop, from scratch, the regime and to define the contours of this new concept, introduced in our legal system through that trojan horse that is the French-style trust …Actually, rediscovering the “propriété économique” through the fiducie was not the right way to capture its substantial nature. Compared too often to the Common Law Trust property, the concept of “propriété économique” was accused very early on of being nothing more than a reminiscence of the dissociated property of the Middle Ages.But this is a totally misguided vision. The propriété économique can be thought in a different way if we consider it through a new reading grid. Indeed such a new approach enables the reinterpretation of many contemporary civil legal mechanisms or institutions. This concept of “propriété économique” already irrigates, in a hidden way, many sectors of the law: matrimonial regimes, some long-term leases, life insurance, corporations, etc..Thus, if the fiducie has at least had the merit of bringing it to the light, it turns out that propriété économique was already part of the French legal system: the superpositions of properties thus fit perfectly into the civil law system and there is no problem of compatibility.In addition, the “propriété économique“ concept also offers practitioners new tools for wealth and asset management.
En 2007, l’introduction de la fiducie en droit français a permis de redécouvrir le concept de propriété économique. Notion ancienne et oubliée au fil du temps, elle a néanmoins réintégré l’ordre juridique à cette occasion.Cependant, cette redécouverte l’a été au travers du prisme du trust, ce qui a fait dire à beaucoup que la propriété économique est une émanation du trust. La fiducie a en effet été présentée comme étant un trust à la française, un trust de droit civil en quelque sorte. Ainsi, la propriété économique serait entièrement à élaborer, en France, car elle aurait été imposée à travers le cheval de Troie qu’est le trust à la française. En réalité, redécouvrir la propriété économique dans le cadre de la fiducie n’était pas le moyen adéquat pour en tirer le meilleur parti. Trop comparée à la propriété existant dans le cadre du trust, elle s’est vu reprocher très tôt de n’être qu’une réminiscence de la propriété dissociée du Moyen-âge.Or en réalité il n’en est rien. La propriété économique peut être pensée d’une façon différente à condition de la saisir à travers une nouvelle grille de lecture. Perçue sous une approche rénovée, elle permet ainsi de réinterpréter un certain nombre de mécanismes juridiques contemporains, et l’on constate assez rapidement qu’elle inonde en réalité déjà des pans entiers du droit : régimes matrimoniaux, certains baux à long terme, assurance-vie, société, etc..Ainsi, si la fiducie a eu au moins le mérite de la remettre en lumière, il s’avère que la propriété économique faisait déjà partie de l’ordre juridique : les superpositions de propriétés s’intègrent donc parfaitement dans l’ordre juridique, et qu’il n’y a pas de problème de compatibilité. En outre, au-delà d’une relecture de mécanismes existants, la propriété économique offre également aux praticiens de nouveaux outils de gestion patrimoniale.
